TERMS OF USE POLICY

By accessing, purchasing, or using any services offered by Avant Garde Heroes (“Company,” “we,” “us,” or “our”), you agree to be legally bound by these Terms of Use. If you do not agree, you must not use our Services.

1. SERVICES
Avant Garde Heroes provides online personal training, nutrition coaching, supplemental programming (including the Amazing Heroes Program), virtual classes, digital resources, memberships, and related wellness services (“Services”).
All Services are delivered digitally via video conferencing platforms, electronic communication, downloadable materials, and/or online systems.

2. ELIGIBILITY & MEDICAL CLEARANCE
You must be at least 18 years old to purchase Services. Minors aged 13–17 may participate only with written parental or legal guardian consent.
By participating, you represent and warrant that:
• You are medically cleared to engage in physical activity
• You understand exercise and dietary changes involve inherent risk
• You assume full responsibility for your participation
• You have consulted a licensed physician where appropriate
• Pregnant and post-partum participants have obtained physician approval
Participation is voluntary and at your sole risk.

3. DIGITAL SERVICES ACKNOWLEDGMENT
All Services are digital, time-based, and intellectual-property-based services.
Upon payment:
• Scheduling time is reserved
• Administrative and preparation work may begin immediately
• Access to digital materials may be granted
• Resources are allocated exclusively to you
Digital Services are deemed rendered once access is provided, sessions are scheduled, or materials are delivered.

4. PAYMENT TERMS
Payment is due in full at the time of purchase unless otherwise stated.
You authorize Avant Garde Heroes to charge your selected payment method.
Failure of payment may result in immediate suspension or termination without liability.

5. STRICT NO-REFUND POLICY
ALL SALES ARE FINAL.
Due to the immediate allocation of time, digital access, intellectual property, and preparation resources:
• No refunds
• No partial refunds
• No prorated refunds
• No refunds for missed sessions
• No refunds for unused memberships
• No refunds after subscription billing
Cancellation of recurring services applies to future billing only and must be submitted in writing at least seven (7) business days prior to the next billing cycle.

6. CHARGEBACK & PAYMENT DISPUTE PROHIBITION
You expressly agree not to initiate chargebacks, payment reversals, or disputes after accepting these Terms and receiving access to Services.
Filing a chargeback after digital services have been made available constitutes material breach of contract and fraudulent misuse of payment systems.
Avant Garde Heroes reserves the right to:
• Submit these Terms as binding evidence to payment processors
• Contest disputes with delivery proof
• Recover disputed funds
• Recover administrative costs, legal fees, and collection expenses
• Permanently terminate access

7. CANCELLATIONS & MISSED SESSIONS
Sessions must be cancelled at least 24 hours in advance unless otherwise specified.
Late cancellations or no-shows result in forfeiture of the session without refund.
Rescheduling is not guaranteed and is at Company discretion.

8. RESULTS DISCLAIMER
We do not guarantee specific outcomes, weight loss, performance improvements, or health results.
Services are educational and coaching-based and do not constitute medical, psychological, dietetic, or therapeutic treatment.
You agree not to rely on Services as a substitute for licensed medical advice.

9. ASSUMPTION OF RISK & RELEASE
You acknowledge that physical activity, exercise instruction, and nutrition modifications involve inherent risks, including but not limited to injury, illness, psychological distress, or death.
To the fullest extent permitted by law, you release and hold harmless Avant Garde Heroes, its owners, contractors, affiliates, and representatives from any and all claims arising from participation.

10. LIMITATION OF LIABILITY
To the maximum extent permitted under U.S. law:
Avant Garde Heroes shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages.
Total liability for any claim shall not exceed the amount paid for the specific Service giving rise to the claim.

11. INDEMNIFICATION
You agree to indemnify and hold harmless Avant Garde Heroes from any claims, damages, losses, liabilities, or expenses (including attorneys’ fees) arising from:
• Your participation
• Your misuse of Services
• Violation of these Terms
• Initiation of a chargeback

12. INTELLECTUAL PROPERTY
All programs, materials, branding, recordings, systems, and digital content remain the exclusive property of Avant Garde Heroes.
You may not:
• Record sessions
• Share login credentials
• Redistribute materials
• Resell programs
• Copy or reproduce content
Unauthorized use may result in legal action.

13. TERMINATION
We reserve the right to suspend or terminate access without refund if:
• Payment obligations are not met
• Terms are violated
• Intellectual property is misused
• Harassment or misconduct occurs

14. MODIFICATIONS
We may update these Terms at any time. Continued use constitutes acceptance of revisions.

15. GOVERNING LAW & DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which Avant Garde Heroes is registered, without regard to conflict of law principles.
Any disputes shall be resolved exclusively in the state or federal courts located in that State, and you consent to personal jurisdiction therein.

16. ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and Avant Garde Heroes and supersede all prior communications.
